Terms of Use

Lumus is a product of Digitaro Private Limited, a company incorporated in Singapore.
These Terms of Use ("Terms") govern access to and use of Lumus and related websites, applications, and services (the "Services") provided by Digitaro Private Limited, a company incorporated in Singapore ("Digitaro", "we", "us", or "our"). Lumus is a product of Digitaro Private Limited.
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. The Services
Lumus is a learning management platform that helps educational organizations manage courses, classes, content, assessments, attendance, communications, and related workflows. Features may include optional integrations with third-party services such as Zoom. We may modify, suspend, or discontinue features with reasonable notice where practicable.
2. Accounts and eligibility
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding credentials and for activity under your account.
- Institutions (Customers) are responsible for authorizing users, managing roles, and ensuring use complies with applicable education and privacy laws.
- If you are under the age of digital consent in your jurisdiction, you may use the Services only as permitted by your institution and applicable law.
3. Customer agreements
If your organization has a separate written agreement with Digitaro (e.g., order form, MSA, or DPA), that agreement controls in the event of conflict with these Terms for the subject matter it covers. These Terms apply to website visitors and to end users to the extent not superseded by a Customer agreement.
4. Acceptable use
You agree not to:
- Violate any law or third-party right
- Upload malware, scrape without authorization, or attempt unauthorized access
- Interfere with or disrupt the Services or other users
- Use the Services to harass, exploit minors, or distribute illegal content
- Resell or sublicense the Services except as expressly permitted
- Misrepresent your identity or affiliation
- Reverse engineer the Services except where such restriction is prohibited by law
We may suspend or terminate access for violations, security risk, non-payment, or legal requirement.
5. Customer content
You (or your institution) retain ownership of content submitted to the Services ("Customer Content"). You grant Digitaro a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Services, prevent abuse, and comply with law. You represent that you have the rights necessary to submit Customer Content and that it does not infringe others' rights.
6. Digitaro intellectual property
The Services, including software, branding, documentation, and design, are owned by Digitaro or its licensors. Except for the limited right to use the Services under these Terms, no rights are granted. You may not copy, modify, or distribute our materials without prior written permission.
7. Third-party services and Zoom
The Services may interoperate with third-party products (including Zoom). Your use of third-party services is subject to those providers' terms and privacy policies. Digitaro is not responsible for third-party services. Enabling an integration authorizes us to exchange data with that provider as described in our Privacy Policy and the integration documentation at getlumus.co/zoom.
You are responsible for configuring third-party apps (including Zoom OAuth apps, scopes, and webhooks) in accordance with that provider's requirements and your institution's policies.
8. Fees and payment
Paid plans are billed according to the applicable order, pricing page, or Customer agreement. Fees are non-refundable except as required by law or expressly stated in writing. Late or failed payments may result in suspension.
9. Confidentiality
Each party may receive confidential information of the other. The receiving party will use reasonable care to protect it and use it only for purposes of the relationship, except where information is public, independently developed, or required to be disclosed by law.

Our processing of personal information is described in the Privacy Policy, Data Retention & Protection Policy, and Security Policy.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. DIGITARO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITARO AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU (OR YOUR INSTITUTION) TO DIGITARO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
13. Indemnity
You will defend and indemnify Digitaro against claims arising from your Customer Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by Digitaro's willful misconduct.
14. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, legal risk, or as provided in a Customer agreement. Upon termination, your right to use the Services ceases. Provisions that by nature should survive (including IP, confidentiality, disclaimers, liability limits, and indemnity) will survive.
15. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, unless a Customer agreement specifies otherwise. Courts of Singapore shall have exclusive jurisdiction, subject to any mandatory consumer protections that cannot be waived.
16. Changes
We may update these Terms periodically. The "Last updated" date will reflect changes. Continued use after updates constitutes acceptance where permitted by law. If you do not agree, stop using the Services.
